KEII Transparency, Consent & Executive Rights

Terms of Service - Executive Reputation Intelligence

Effective Date: January 2026

1. Definitions

"KEII" (Kloutify Executive Influence Index) means Kloutify's proprietary, multi-factor analytical output designed to assess external executive reputation signals based on publicly available and consented data sources.

"Executive" means an individual natural person whose professional reputation may be analysed through the Platform.

"Enterprise Customer" means an organisation that licenses the Platform for governance, monitoring, or risk oversight purposes.

"KEII Profile" means an Executive's individual KEII score, component indicators, explanatory factors, and related insights.

"Aggregated Data" means anonymised, de-identified, or grouped data that does not reasonably permit identification of an individual Executive.

2. Executive Right of Access (Right to Know)

2.1 Executives are entitled to access their own KEII Profile through the Platform on a self-service basis.

2.2 Such access may occur prior to, independent of, or without any Enterprise Customer enrolment.

2.3 Access to an Executive's KEII Profile does not require employer authorisation and does not imply organisational participation.

2.4 Kloutify may provide a baseline KEII assessment to an Executive without charge, subject to verification and Platform eligibility requirements.

3. Consent-Based Visibility

3.1 By default, KEII Profiles are visible only to the Executive.

3.2 No Enterprise Customer, board, employer, or third party shall have access to an identifiable KEII Profile unless the Executive provides explicit, informed consent.

3.3 Executive consent must specify:

  • The scope of data shared
  • The intended recipients
  • The duration of access

3.4 Executives may revoke consent at any time, subject to reasonable processing delays and legal obligations.

3.5 Revocation of consent does not affect previously shared Aggregated Data.

4. Enterprise Access & Aggregation

4.1 Enterprise Customers receive access to Aggregated Data by default.

4.2 Aggregated Data may include:

  • Risk distributions
  • Trend analysis
  • Risk band classifications (e.g., Low / Moderate / Elevated)
  • Directional movement over time

4.3 Aggregated Data shall not include named individuals or identifiable KEII Profiles unless expressly authorised.

4.4 Enterprise Customers acknowledge that KEII data is provided for informational and governance purposes only.

5. Purpose Limitation

5.1 KEII and related outputs are intended solely for:

  • Reputational risk awareness
  • Strategic preparation
  • Governance oversight
  • Early-warning intelligence

5.2 KEII shall not be used for:

  • Employment decisions
  • Performance evaluations
  • Compensation determinations
  • Disciplinary actions
  • Automated decision-making

5.3 Enterprise Customers agree not to rely on KEII as a sole or determinative factor in any employment-related action.

6. Explainability & Non-Automation

6.1 KEII scores are generated using explainable, multi-dimensional methodologies. Each of the six dimension scores is shown; the weights that combine them into the overall index are proprietary, fixed, applied identically to every profile, versioned with the methodology, and available to auditors under NDA.

6.2 Executives may view contributing factors, score components, and directional drivers.

6.3 KEII does not constitute a judgment, ranking, certification, or endorsement.

6.4 Kloutify does not perform automated decisions or profiling with legal or similarly significant effects within the meaning of applicable data protection laws.

7. Data Sources & Limitations

7.1 KEII analysis is derived from:

  • Publicly available professional content
  • Consent-based data integrations
  • Platform-generated interactions

7.2 Kloutify does not:

  • Scrape private communications
  • Infer protected characteristics
  • Access confidential employer data

7.3 KEII outputs are probabilistic and contextual and should be interpreted accordingly.

8. Privacy & Data Protection

8.1 Kloutify processes personal data in accordance with applicable data protection laws, including GDPR where applicable.

8.2 Executives retain rights of access, correction, and erasure, subject to legal and contractual obligations.

8.3 Data minimisation and purpose limitation principles are embedded by design.

9. Disclaimers

9.1 KEII is an analytical tool and does not guarantee outcomes, risk avoidance, or reputational improvement.

9.2 Kloutify does not warrant that KEII scores will align with third-party perceptions, decisions, or assessments.

9.3 Enterprise Customers and Executives acknowledge that reputational dynamics are inherently complex and evolving.

10. Governing Principle

Kloutify is designed to balance enterprise governance needs with individual executive rights, ensuring transparency, consent, and accountability in executive reputation intelligence.

KEII is an early-warning signal - not a verdict.
